Below are links to the Product Documentation and policies for the Services offered by CareerBuilder.

Terms for Talent Discovery (includes CareerBuilder Resume Database Pro and My Candidate services.)

The following terms shall apply to Company’s use of the Resume Database Pro Package (“RDB"):

1. This RDB Package includes Recruitment Edge functionality. Recruitment Edge aggregates data from the open web by scanning professional networking sites, talent hubs, blogs, publications and journals, and scanning social networks to find talent. Recruitment Edge may solely be used for Candidate lead generation purposes and to make initial contact with possible Candidates and must not be used to evaluate a job applicant’s eligibility for employment or a current employee’s eligibility for continued employment, reassignment or promotion. You are prohibited from reviewing profiles of persons who are employed by you or who have already expressed interest in employment with you outside of the Recruitment Edge platform. Any information regarding a potential Candidate that is obtained from Recruitment Edge is largely derived from public sources and is not guaranteed or verified to be accurate or up to date. Accordingly, such information should not be maintained in the individual’s application file or in any subsequent employee file.

2. CareerBuilder grants Company a limited, personal, terminable, non-transferable, non-exclusive right to access Recruitment Edge via the Sites for the purpose of viewing and/or downloading a single copy of available profiles (collectively, “Profiles") solely for Company’s internal use. Recruitment Edge is to be accessed and used solely by Company through its authorized Users.

3. Company may access the Resume Database via the Sites for the purpose of viewing and/or downloading a single copy of available paper and/or video resumes (together with Profiles, collectively referred to herein as “Resumes") solely for its internal use. Resume Database is to be accessed and used solely by those Users whom Company authorizes to access Resume Database through its account (each an “Authorized RDB User"). Each Authorized RDB User will be issued a unique Resume Database Seat (a “Seat") through which they can perform the actions described in this section. Each Seat must be purchased in advance by Company and may be accessed by using unique login credentials. Company is only permitted to assign one Seat per Authorized RDB User and Authorized RDB Users may not share their login credentials or Seat access amongst themselves, with any other co-workers or with any other third parties.

4. Authorized RDB Users may download, one at a time, up to 1000 Resumes per month (per Seat) with a daily download limit of no more than 300 Resumes per day (per Seat). Please note that the term “download" shall include: (i) viewing or clicking on a Resume page; (ii) saving a Resume to a folder; (iii) printing a Resume; (iv) copying a Resume; (v) emailing or forwarding a Resume; and/or (vi) any other action that results or could result in Company’s use of a Resume or any of the information contained therein.

5. Neither Company nor its Authorized RDB Users may use Resume Database in any way, which, in CareerBuilder’s sole judgment, adversely affects CareerBuilder’s business, business prospects, the performance or function of any Site or Resume Database, or interferes with the ability, of other subscribers to access Resume Database. Further, use of CB Search by Company or by its Authorized RDB Users may not interfere or violate, in any manner, the privacy election of CareerBuilder Candidates. Company understands and agrees that any violation of this section will give CareerBuilder the right to immediately terminate any and all access to the RDB and to terminate any corresponding Order Forms.

6. Company and its Authorized RDB Users may use Company’s subscription to Resume Database only for seeking potential candidates for employment and are specifically prohibited from using information contained in Resume Database to (i) sell or promote any products or services, (ii) send emails that, in CareerBuilder’s sole judgment, are excessive in frequency or are irrelevant to a particular potential Candidate or (iii) take any other action that is, in CareerBuilder’s sole judgment, inconsistent with the Agreement, misleading or incomplete, or in violation of any federal, state, or local law, statute, code, rule, or regulation.

7. CareerBuilder may terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of Resume Database at any time. By permitting access to the CareerBuilder Resume Database, CareerBuilder does not convey any interest in or to Resume Database or any other CareerBuilder property or Services. All right, title and interest in and to Resume Database is and shall remain in CareerBuilder.

Supply & Demand Portal. The Recruitment Package includes access to CareerBuilder’s databases containing content related to salaries and employment (the “Supply & Demand Portal"). Supply & Demand Portal provides strategic intelligence on labor markets and the competition for talent.

The following terms shall apply to Company’s use of the MyCandidates Services:

1. MyCandidates Data. “MyCandidates Data" is the Company’s Candidate data, shared with CareerBuilder, that will be normalized, aggregated and enriched for Company’s use as part of the Services. Each candidate record must include: date stamp, email address, country code, zip code, resume text and unique URL of the candidate’s record from an ATS or from Talent Network (the “Required Data Fields"). The MyCandidates Data can originate from the Company’s ATS or, if Company has purchased such services, from the Talent Network Site or from applink. Further, the MyCandidates Data is considered to be Company Data, as such term is defined in the MSA, and Company’s rights and obligations regarding the MyCandidates Data shall be the same as those described for Company Data.

2. MyCandidates Services. The MyCandidates Service will normalize, aggregate and enrich Company’s MyCandidates Data in a separate, dedicated section on Supply & Demand Portal to include the same input capabilities and filters as described for the Supply & Demand Portal, but with the following data displays as customized for the MyCandidates Data.

3. Company Responsibilities. Company or Company’s ATS Partner must provide CareerBuilder with XML file of their candidate data in order to build the MyCandidates database. Company or Company’s ATS must upload the XML file according to the technical specifications below to start the process. Company or Company’s ATS can continue to upload additional XML files with new candidate data on a daily, weekly, monthly or quarterly basis. Company can bypass this responsibility if Company’s Talent Network candidates or those candidates who have applied for jobs via CareerBuilder’s applink are being used to build Company’s MyCandidates database.

4. Technical Specifications. Company’s MyCandidates Data must be formatted in XML file. Each unique candidate should have the Required Data Fields. First upload the XML file to the secure FTP site and then notify CareerBuilder.

5. Geographic Limitations. The Supply & Demand Portal and MyCandidates only supports data regarding the U.S. labor market. The MyCandidates Data will be hosted by CareerBuilder and will be accessible on the CareerBuilder website from the Supply & Demand Portal.

Additional Terms for Recruitment Packs: (includes CareerBuilder Resume Database Pro and Talent Network services.)

Company understands and agrees that any violation of this section will give CareerBuilder the right to immediately terminate any and all access to the RDB and to terminate any corresponding Order Forms.

Company and its Authorized RDB Users may use Company’s subscription to Resume Database only for seeking potential candidates for employment and are specifically prohibited from using information contained in Resume Database to (i) sell or promote any products or services, (ii) send emails that, in CareerBuilder’s sole judgment, are excessive in frequency or are irrelevant to a particular potential Candidate or (iii) take any other action that is, in CareerBuilder’s sole judgment, inconsistent with the Agreement, misleading or incomplete, or in violation of any federal, state, or local law, statute, code, rule, or regulation.

7. CareerBuilder may terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of Resume Database at any time. By permitting access to the CareerBuilder Resume Database, CareerBuilder does not convey any interest in or to Resume Database or any other CareerBuilder property or Services. All right, title and interest in and to Resume Database is and shall remain in CareerBuilder.

Supply & Demand Portal. The Recruitment Package includes access to CareerBuilder’s databases containing content related to salaries and employment (the “Supply & Demand Portal"). Supply & Demand Portal provides strategic intelligence on labor markets and the competition for talent.

The following additional terms shall apply to Company’s use of the Talent Network:

1. Talent Network Services (the “Services"): The Services, and the definitions for any capitalized terms provided below, are described in our Talent Network Services Description Exhibit, which is located at http://www.careerbuilder.com/jobposter/terms.aspx?ID=talentnetworkservicedescription.

a. Global language capabilities (post Launch). CareerBuilder will develop a Talent Network Site for Company that utilizes the language(s) indicated above. If this Order Form indicates multiples language above, then the Talent Network Site can be multi-lingual and will allow Candidates to toggle between languages. (Languages should only be selected for relevant countries in which Company wishes to recruit. If Company needs unique Talent Network Sites in each country (versus translations of the same Talent Network Site), then additional Talent Network Sites must be purchased). The Talent Network Site’s Company-facing features (such as Member search or analytics dashboard) are only available in those countries in which CareerBuilder maintains a local office.

b. Multiple Brand Capabilities: If Company has indicated above that it would like to have multiple company brands displayed on its Talent Network Site, please note that Members will be combined into one Member Search Database and unique branding per company will be limited to logo displays in search results. If unique branding or separate databases are required, additional Talent Network Sites must be purchased.

2. Data Extracts. After termination of Talent Network Services, Company may request (i) a copy of all Candidate resumes stored on behalf of Company by CareerBuilder and (ii) a copy of all Candidate information, including contact information (if provided). Data Extracts shall be subject to payment of a one-time fee in an amount to be determined in CareerBuilder’s sole discretion. Upon request, additional extracts may be available at additional cost. CareerBuilder does not warrant that all or that any particular elements of Company Data can be extracted and made available independent of the Services. Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

Terms for Talent Discovery Recruitment Packs: (includes Resume Database Pro, My Candidates and Talent Network services.)

Resume Database is to be accessed and used solely by those Users whom Company authorizes to access the Resume Database through its account (each an “Authorized RDB User"). Each Authorized RDB User will be issued a unique Resume Database Seat (a “Seat") through which they can perform the actions described in this section. Each Seat must be purchased in advance by Company and may be accessed by using unique login credentials. Company is only permitted to assign one Seat per Authorized RDB User and Authorized RDB Users may not share their login credentials or Seat access amongst themselves, with any other co-workers or with any other third parties.

4. Authorized RDB Users may download, one at a time, up to 1,000 Resumes per month (per Seat) with a daily download limit of no more than 300 Resumes per day (per Seat). Please note that the term “download" shall include: (i) viewing or clicking on a Resume page; (ii) saving a Resume to a folder; (iii) printing a Resume; (iv) copying a Resume; (v) emailing or forwarding a Resume; and/or (vi) any other action that results or could result in Company’s use of a Resume or any of the information contained therein.

5. Neither Company nor its Authorized RDB Users may use the Resume Database in any way which, in CareerBuilder’s sole judgment, adversely affects CareerBuilder’s business, business prospects, the performance or function of any Site or Resume Database, or interferes with the ability, of other subscribers to access Resume Database. Further, use of Resume Database by Company or by its Authorized RDB Users may not interfere or violate, in any manner, the privacy election of CareerBuilder Candidates. Company understands and agrees that any violation of this section will give CareerBuilder the right to immediately terminate any and all access to the RDB and to terminate any corresponding Order Forms.

6. Company and its Authorized RDB Users may use Company’s subscription to Resume Database only for seeking potential candidates for employment and are specifically prohibited from using information contained in Resume Database to (i) sell or promote any products or services, (ii) send emails that, in CareerBuilder’s sole judgment, are excessive in frequency or are irrelevant to a particular potential Candidate or (iii) take any other action that is, in CareerBuilder’s sole judgment, inconsistent with the Agreement, misleading or incomplete, or in violation of any federal, state, or local law, statute, code, rule, or regulation.

7. CareerBuilder may terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of Resume Database at any time. By permitting access to the CareerBuilder Resume Database, CareerBuilder does not convey any interest in or to Resume Database or any other CareerBuilder property or Services. All right, title and interest in and to Resume Database is and shall remain in CareerBuilder.

Supply & Demand Portal. The Resume Database Pro Package includes access to CareerBuilder’s databases containing content related to salaries and employment (the “Supply & Demand Portal"). Supply & Demand Portal provides strategic intelligence on labor markets and the competition for talent.

The following terms shall apply to Company’s use of the Resume Database:

1. This RDB Package includes Recruitment Edge functionality. Recruitment Edge aggregates data from the open web by scanning professional networking sites, talent hubs, blogs, publications and journals, and scanning social networks to find talent. Recruitment Edge may solely be used for Candidate lead generation purposes and to make initial contact with possible Candidates and must not be used to evaluate a job applicant’s eligibility for employment or a current employee’s eligibility for continued employment, reassignment or promotion. You are prohibited from reviewing profiles of persons who are employed by you or who have already expressed interest in employment with you outside of the Recruitment Edge platform. Any information regarding a potential Candidate that is obtained from Recruitment Edge is largely derived from public sources and is not guaranteed or verified to be accurate or up to date. Accordingly, such information should not be maintained in the individual’s application file or in any subsequent employee file.

2. CareerBuilder grants Company a limited, personal, terminable, non-transferable, non-exclusive right to access Recruitment Edge via the Sites for the purpose of viewing and/or downloading a single copy of available profiles (collectively, “Profiles") solely for Company’s internal use. Recruitment Edge is to be accessed and used solely by Company through its authorized Users.

3. Company may access the CareerBuilder Resume Database via the Sites for the purpose of viewing and/or downloading a single copy of available paper and/or video resumes (collectively “Resumes") solely for its internal use. The Resume Database is to be accessed and used solely by those Users whom Company authorizes to access the Resume Database through its account (each an “Authorized RDB User"). Each Authorized RDB User will be issued a unique Resume Database Seat (a “Seat") through which they can perform the actions described in this section. Each Seat must be purchased in advance by Company and may be accessed by using unique login credentials. Company is only permitted to assign one Seat per Authorized RDB User and Authorized RDB Users may not share their login credentials or Seat access amongst themselves, with any other co-workers or with any other third parties.

4. If Company has purchased “Small Business RDB," then Authorized RDB Users may download, one at a time, up to 50 Resumes per day (per Seat). If Company has purchased “Resume Database Standard" or “Resume Database Pro," then Authorized RDB Users may download, one at a time, up to 1000 Resumes per month (per Seat) with a daily download limit of no more than 300 Resumes per day (per Seat). Please note that the term “download" shall include: (i) viewing or clicking on a Resume page; (ii) saving a Resume to a folder; (iii) printing a Resume; (iv) copying a Resume; (v) emailing or forwarding a Resume; and/or (vi) any other action that results or could result in Company’s use of a Resume or any of the information contained therein.

5. Neither Company nor its Authorized RDB Users may use the Resume Database in any way which, in CareerBuilder’s sole judgment, adversely affects CareerBuilder’s business, business prospects, the performance or function of any Site or the Resume Database, or interferes with the ability, of other subscribers to access the Resume Database. Further, use of the Resume Database by Company or by its Authorized RDB Users may not interfere or violate, in any manner, the privacy election of CareerBuilder Candidates. Company understands and agrees that any violation of this section will give CareerBuilder the right to immediately terminate any and all access to the RDB and to terminate any corresponding Order Forms.

6. You and your Authorized RDB Users may use your subscription to the Resume Database only for seeking candidates for employment and are specifically prohibited from using information contained in the Resume Database to (i) sell or promote any products or services, (ii) send emails that, in CareerBuilder’s sole judgment, are excessive in frequency or contain job postings that are irrelevant to the work history of particular classes of Job Seekers or (iii) take any other action that is, in CareerBuilder’s sole judgment, inconsistent with these Terms and Conditions, misleading or incomplete, or in violation of any Federal, State, Local law, statute, code, rule, or regulation. Company understands and agrees that if Company uses the Resume Database in violation of the preceding restrictions, then CareerBuilder may, at its sole discretion, either terminate Company’s Agreement or transfer Company’s Seats from the Resume Database to the Targeted Resume Database (a database that only contains individuals whom CareerBuilder has identified as appropriate Candidates for sales positions where the majority of the compensation is to be derived from commissions).

7. CareerBuilder may terminate, suspend, update, alter or supplement, at its sole discretion, all or any part of the Resume Database at any time. By permitting access to the CareerBuilder Resume Database, CareerBuilder does not convey any interest in or to the Resume Database or any other CareerBuilder property or Services. All right, title and interest in and to the Resume Database is and shall remain in CareerBuilder.

The following terms shall apply to Company’s use of the Supply and Demand Services:

CareerBuilder develops, acquires and maintains certain high quality, proprietary databases, and other content related to salaries and employment (the “Supply & Demand Portal"). Supply & Demand Portal provides strategic intelligence on labor markets and the competition for talent. The Supply & Demand Portal has the following features:

1. Delivery – The Supply & Demand Services will be available promptly after execution of this Order Form.

2. Input capabilities – Users can input the following in search:

  1. Keywords using Boolean search capabilities
  2. O’Net Standard Occupation Classification
  3. Location
    1. Nationwide
    2. State
    3. Metropolitan Statistical Area
    4. City, State (does include radius capabilities)

3. Filters – users can filter data by the following criteria:

  1. Occupation (Standard Occupation Classification)
  2. Company
  3. Company Size
  4. Industry (North American Industry Classification System)y Size
  5. State
  6. Metropolitan Statistical Area
  7. Years of Experience
  8. Education Level
  9. Major

5. Additional License. CareerBuilder hereby grants Company a limited, non-exclusive, non-assignable, worldwide right and license to: (a) store and use any Supply & Demand Services for Company’s internal management, reference or informational purposes, and (b) distribute copies of any reports generated by the Supply & Demand Services (each a “Report"), subject to the conditions that (i) such copies may be distributed only in printed or static electronic PDF format, (ii) in providing a copy of any Report to a recipient, Company may not charge the recipient any kind of fee or other consideration, and (iii) Company shall not remove or modify any branding, marks, copyright or trademark notices, or any other notices or disclaimers set forth in any Report without CareerBuilder’s prior written consent, or otherwise modify the Report in any way so as to falsely or otherwise misrepresent its content. Further, Company may not issue press releases or make other public statements regarding any Report, or the contents or conclusions in same, without the express written consent of CareerBuilder.

The following terms shall apply to Company’s use of the Talent Network Services:

1. Talent Network Services (the “Services"): The Services, and the definitions for any capitalized terms provided below, are described in our Services Description Exhibit, which is located at http://www.careerbuilder.com/jobposter/terms.aspx?ID=talentnetworkservicedescription.

a. Global language capabilities (post Launch). CareerBuilder will develop a Talent Network Site for Company that utilizes the language(s) indicated above. If this Order Form indicates multiples language above, then the Talent Network Site can be multi-lingual and will allow Candidates to toggle between languages. (Languages should only be selected for relevant countries in which Company wishes to recruit. If Company needs unique Talent Network Sites in each country (versus translations of the same Talent Network Site), then additional Talent Network Sites must be purchased). The Talent Network Site’s Company-facing features (such as Member search or analytics dashboard) are only available in those countries in which CareerBuilder maintains a local office.

b. Multiple Brand Capabilities: If Company has indicated above that it would like to have multiple company brands displayed on its Talent Network Site, please note that Members will be combined into one Member Search Database and unique branding per company will be limited to logo displays in search results. If unique branding or separate databases are required, additional Talent Network Sites must be purchased.

2. Data Extracts. After termination of Talent Network Services, Company may request (i) a copy of all Candidate resumes stored on behalf of Company by CareerBuilder and (ii) a copy of all Candidate information, including contact information (if provided). Data Extracts shall be subject to payment of a one-time fee in an amount to be determined in CareerBuilder’s sole discretion. Upon request, additional extracts may be available at additional cost. CareerBuilder does not warrant that all or that any particular elements of Company Data can be extracted and made available independent of the Services. Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

3. Talent Network Premium: If Company has purchased Talent Network Premium (a “Premium Site"), then Company agrees to replace its existing career site with the Premium Site developed by CareerBuilder. The domain or subdomain Company is establishing for the Premium Site and Company’s Applicant Tracking System (“ATS") are both listed above in the Order Form. CareerBuilder also shall build a join form intercept between job details on the Premium Site and the ATS if such service is indicated above.

The following additional terms shall apply to Company’s use of the MyCandidates Services:

1. MyCandidates Data. “MyCandidates Data" is the Company’s Candidate data, shared with CareerBuilder, that will be normalized, aggregated and enriched for Company’s use as part of the Services. Each candidate record must include: date stamp, email address, country code, zip code, resume text and unique URL of the candidate’s record from an ATS or from Talent Network (the “Required Data Fields"). The MyCandidates Data can originate from the Company’s ATS or, if Company has purchased such services, from the Talent Network Site or from applink. Further, the MyCandidates Data is considered to be Company Data, as such term is defined in the MSA, and Company’s rights and obligations regarding the MyCandidates Data shall be the same as those described for Company Data.

2. MyCandidates Services. The MyCandidates Service will normalize, aggregate and enrich Company’s MyCandidates Data in a separate, dedicated section on Supply & Demand Portal to include the same input capabilities and filters as described for the Supply & Demand Portal, but with the following data displays as customized for the MyCandidates Data:

3. Company Responsibilities. Company or Company’s ATS Partner must provide CareerBuilder with XML file of their candidate data in order to build the MyCandidates database. Company or Company’s ATS must upload the XML file according to the technical specifications below to start the process. Company or Company’s ATS can continue to upload additional XML files with new candidate data on a daily, weekly, monthly or quarterly basis. Company can bypass this responsibility if Company’s Talent Network candidates or those candidates who have applied for jobs via CareerBuilder’s applink are being used to build Company’s MyCandidates database.

4. Technical Specifications. Company’s MyCandidates Data must be formatted in XML file. Each unique candidate should have the Required Data Fields. First upload the XML file to the secure FTP site and then notify CareerBuilder.

5. Geographic Limitations. The Supply & Demand Portal and MyCandidates only supports data regarding the U.S. labor market. The MyCandidates Data will be hosted by CareerBuilder and will be accessible on the CareerBuilder website from the Supply & Demand Portal.

6. Data Extracts. Upon termination of MyCandidates Services, Company may request (i) a copy of all Candidate resumes stored on behalf of the Company by CareerBuilder and (ii) a copy of all Candidate information, including contact information (if provided). Data Extracts shall be subject to payment of a one-time fee in an amount to be determined in CareerBuilder’s sole discretion. Upon request, additional extracts may be available at additional cost. CareerBuilder does not warrant that all or that any particular elements of Company Data can be extracted and made available independent of the Services. Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

The following terms shall apply to Company’s use of any Broadbean Services:

Services and Responsibilities

  1. Company may use the Services on behalf of its Affiliates (as defined below) or give its Affiliates access to use the Services provided that:

    1.1.1 Company shall ensure that each Affiliate complies with all of the terms of the Agreement in the same manner that such terms and conditions apply to the Company; and

    1.1.2 Company shall be responsible for and remain liable for all Affiliate acts and omissions..

  2. Subject to the terms and conditions of the Agreement, Company may use the services provided by Broadbean (the “Services") to submit job advertisements, announcements, or other information or materials (“Postings") regarding employment opportunities with Company for transmission and placement on job boards, social networking websites or other distribution/search channels operated by third parties (“Job Boards") and to manage and report on its Postings and responses thereto, and, if specified on this Order Form, to search resume databases operated or maintained by third parties (“Resume Databases"), in each case as further described herein and as permitted using Broadbean’s standard functionality, features and tools. The Job Boards and Resume Databases are collectively referred to herein as “Candidate Sources".
  3. Broadbean does not warrant the continued availability of any Candidate Source.
  4. Company shall not use the Services to act as a service bureau or application service provider and shall not permit any kind of access to the Services to any third party other than its Affiliates.
  5. Where Company provides Postings data to Broadbean via an automated feed (e.g. xml feed, career site scrape, API integration or Applicant Tracking System (“ATS")) rather than manually inputting Posting data into the Broadbean Service:

    1.5.1 Broadbean will submit Postings to Candidate Sources in the technical format provided to Broadbean by Company. Broadbean is not responsible for how Candidate Sources render that format and any changes required by Company to that formatting are the responsibility of Company prior to submission to Broadbean; and

    1.5.2 Company will obtain from the ATS provider, on a timely basis, all support that Broadbean reasonably requires to provide the Services.

  6. Broadbean will set-up and configure the Company account. This includes the initial configuration of Candidate Sources and Users prior to the initial go-live of Company’s Broadbean account. Company will nominate a single delivery manager (the “Company DM") authorized to make decisions on account set-up, configuration, workflow and training. Company will provide any decisions and any associated information reasonably required by Broadbean to set-up and configure the Company account.
  7. Once the Company account is set-up and configured, Broadbean will provide Company with up to five live user training sessions via online sharing software such as go-to-meeting or join-me. In addition, Broadbean will provide Company with a video of the training session(s) for users who cannot attend the live training session(s). Company will provide a set of training dates as requested by Broadbean and will ensure all users have attended a full Broadbean training session (live or recorded) before using the Services.
  8. Broadbean may require Company’s Candidate Source account access credentials in order to configure the Services to post jobs or search for candidates on any given Candidate Source (e.g. Broadbean will need Company’s CareerBuilder.com account details in order for the Services to post to Company’s CareerBuilder account on Company’s behalf). Company agrees to provide these credentials to Broadbean as requested.
  9. Company will ensure Users have access to the Google Chrome, Microsoft Internet Explorer or Apple Safari browser to use the services, such browser to be of a version no earlier than Chrome v10, Internet Explorer v8, Safari v5.
  10. Failure by Company to (i) provide Broadbean with required account set-up and/or configuration decisions or information, (ii) attend, or provide a reasonable selection of dates for, online user training sessions, (iii) provide Broadbean with Candidate Source account access credentials, (iv) provide Users with the required browser/version, or (v) use the Services after the Term has started, will not void the Agreement or Company’s responsibility to pay the Fees.
  11. Broadbean shall ensure that the Services operate as demonstrated to Company and as described in the user documentation and report specifications. Company has performed reasonable due diligence, is satisfied that the Services meet their needs and acknowledges that no further functionality, workflow or deliverables are required or expected from Broadbean or the Services unless specified in the Order Form. Should Company decide after the Order Form has been signed that the Services do not meet their needs or decide to change their workflow, or systems (e.g. ATS) or data feed or career site to a format, process or system that the Services do not support, such a decision will not void the Agreement or Company’s responsibility to pay the Fees; however, Broadbean will use commercially reasonable efforts to reconfigure the account (using pre-existing Broadbean configuration options) to meet Company’s new needs at no additional cost to Company.
  12. Broadbean will provide online tools and training that allow Company’s administrative Users to add, delete and configure Candidate Sources and Authorized Users within Company’s Broadbean account. Broadbean has no responsibility to perform functions for Company during the Term that can be achieved with these tools. For significant change projects Broadbean can perform these functions for Company if agreed between the Parties and documented in a separate Order Form.
  13. Broadbean will ensure the Services can post to all Candidate Sources in Broadbean’s network as detailed at http://www.broadbean.com/job-boards/. If Company requires the Services to post to a Candidate Source not part of Broadbean’s network (“New Source"), then Broadbean will use commercially reasonable efforts to add New Sources to its network at a rate of not less than one Candidate Source per week. Should Company’s posting volumes to any such New Source exceed twenty (20) postings per month, both Broadbean and Company will use commercially reasonable efforts to persuade the New Source to provide Broadbean with access to an Application Programming Interface (API) that accepts automated electronic postings from Broadbean in one of Broadbean’s standard data formats. Should a New Source be unable or unwilling to provide Broadbean with access to such an API in a timely manner, then Broadbean will not be required to post jobs to that New Source and not posting to this New Source will not void the Agreement or Company’s responsibility to pay the Fees. In such scenarios Broadbean will still manually post to such New Sources for Company subject to Company agreeing in writing (including email) to pay an additional fee per post/edit/delete (“Manual Transaction") for each New Source at Broadbean’s standard Manual Posting rates.

    Broadbean’s standard Manual Posting rates as of the Effective Date are:

    1.15.1 English Language: $2 per Manual Transaction per Candidate Source

    1.15.2 Non-English Language: $6 per Manual Transaction per Candidate Source

  14. Where Broadbean acts as a media buyer for Company in relation to buying credits on a Candidate Source on behalf of Company as authorized and requested by Company (“Media Buyer"), Company acknowledges that responsibility and liability for complying with the terms and conditions of use of such Candidate Source remains with Company.
  15. Where Broadbean does not act as a Media Buyer, Company acknowledges that:

    in order to use the Services to submit Postings and/or search Resume Databases on certain Candidate Sources, Company may need to maintain active accounts, funded accounts or credits with those Candidate Sources;

    Company is solely responsible for complying with the terms and conditions of use of any Candidate Source and/or any other agreement between Company and the Candidate Source; and

    Company is solely responsible for the payment of all charges due to the operators of the Candidate Source.

  16. Company shall not disclose its login password for the Services to any third party. Company shall ensure that only its authorized personnel (“Authorized Users") access the Services and that each Authorized User uses his/her unique login password (“User ID") to access the Services. Company shall ensure that each Authorized User uses his/her respective assigned User ID only and will not use another’s User ID.
  17. If Company has purchased OFCCP Compliance Job Distribution and Reporting then the following terms shall apply: OFCCP Compliance Job Distribution and Reporting is a tool that can facilitate Company’s compliance with OFCCP obligations by (i) distributing Postings to various Job Boards as required by Section 4212 of the Vietnam Era Veteran’s Readjustment Assistance Act of 1974 and (ii) maintaining a record demonstrating the successful transmission and publishing of Postings with such Job Boards. Company understands and agrees that Company is solely responsible for its compliance with both OFCCP regulations and any other applicable law. Company’s use of Broadbean’s OFCCP Compliance Job Distribution and Reporting does not ensure compliance with OFCCP regulations.

The following additional terms shall apply to Company’s use of the standard Applicant Tracking Services:

1. Testing. There will be up to thirty (30) days and two (2) rounds of reviews for Client review and revisions after delivery of the Applicant Tracking system. Any additional revisions or changes, at CareerBuilder’s sole discretion, may incur a $200 per hour developer fee and $100 per hour project management fee that will be billed back to the Client. Average build time is 4 weeks.

2. Subscription Service. Features of the Applicant Tracking Service are described at http://www.careerbuilderforemployers.com/content/careerbuilder1 and in the Service itself. CareerBuilder reserves the right at any time to modify or discontinue, temporarily or permanently, any of the features of the Applicant Tracking Service. Features associated with the Service are described below.

3. Onboarding Services. Our onboarding solution provides e-signature solutions for administering new hire documents, while eliminating paperwork and reducing time-to-hire. Our solution is integrated to the recruitment workflow and Company may send employment documents as part of a complete recruitment workflow.

4. Assessments. The assessment range was developed in specific response to a large market research study. The assessments are integrated into the Applicant Tracking software to allow clients to send assessments to candidates and save the results as part of the candidate file. Currently the assessments are only offered in English.

5. User Accounts. Company may create User Accounts for any persons authorized to use the Applicant Tracking Services on its behalf, including, but not limited to, recruiters and contractors. Company is solely responsible for any access to and use of the Services accessed through its User Accounts or otherwise by Users, including by Candidates. The Applicant Tracking Services permit Company to establish different levels of security and information access on a User by User basis. Company is solely responsible for the creation and management of such security levels including, but not limited to, granting and terminating individual User access to information and/or to the Services as a whole, as appropriate. In addition, Company understands and agrees that it is solely responsible for informing Users of their rights and responsibilities with respect to the Services and entering into agreements as appropriate with respect to such User’s use of the Services, including, but not limited to, as appropriate disclosure of information management practices with respect to data and documents provided by such Users.

6. Service Details.

6.1 Company may use the Services on behalf of its Affiliates (as defined below) or give its Affiliates access to use the Services provided that:

6.1.1 Company shall ensure that each Affiliate complies with all of the terms of the Agreement in the same manner that such terms and conditions apply to the Company; and

6.1.2 Company shall be responsible for and remain liable for all Affiliate acts and omissions. “Affiliate" means an entity that controls, is controlled by, or is under common control with Company.

6.2 Subject to the terms and conditions of the Agreement, Company may use the Services to submit job advertisements, announcements, or other information or materials (“Postings") regarding employment opportunities with Company for transmission and placement on job boards, social networking websites or other distribution/search channels operated by third parties (“Job Boards") and to manage and report on its Postings and responses thereto as further described herein and as permitted using Recruit’s standard functionality, features and tools.

6.3 CareerBuilder does not warrant the continued availability of any Job Board.

6.4 Where Company provides Postings data to CareerBuilder via an automated feed (e.g. xml feed, career site scrape, API integration or Applicant Tracking System (“ATS")) rather than manually inputting Posting data into the Applicant Tracking Service:

6.4.1 CareerBuilder will submit Postings to Job Boards in the technical format provided to CareerBuilder by Company. CareerBuilder is not responsible for how Job Boards render that format and any changes required by Company to that formatting are the responsibility of Company prior to submission to CareerBuilder; and

6.4.2 Company will obtain from the ATS provider, on a timely basis, all support that CareerBuilder reasonably requires to provide the Services.

6.5 CareerBuilder will set-up and configure the Company account. This includes the initial configuration of Job Boards and Users prior to the initial go-live of Company’s CareerBuilder account. Company will nominate a single delivery manager (the “Company DM") authorized to make decisions on account set-up, configuration, workflow and training. Company will provide any decisions and any associated information reasonably required by CareerBuilder to set-up and configure the Company account.

6.6 CareerBuilder may require Company’s Job Board account access credentials in order to configure the Services to post jobs on any given Job Board (for example, CareerBuilder would need Company’s Facebook.com account details in order for the Services to post to Company’s Facebook account on Company’s behalf). Company agrees to provide these credentials to CareerBuilder as requested.

6.7 Company will ensure Users have access to the Google Chrome, Microsoft Internet Explorer or Apple Safari browser to use the services, such browser to be of a version no earlier than Chrome v10, Internet Explorer v8, Safari v5.

6.8 Failure by Company to (i) provide CareerBuilder with required account set-up and/or configuration decisions or information, (ii) attend, or provide a reasonable selection of dates for, online user training sessions, (iii) provide CareerBuilder with Job Board account access credentials, (iv) provide Users with the required browser/version, or (v) use the Services after the Term has started, will not void the Agreement or Company’s responsibility to make payment pursuant to the Order Form.

6.9 CareerBuilder shall ensure that the Services operate as demonstrated to Company and as described in the user documentation and report specifications. Company has performed reasonable due diligence, is satisfied that the Services meet their needs and acknowledges that no further functionality, workflow or deliverables are required or expected from CareerBuilder or the Services unless specified in the Order Form. Should Company decide after the Order Form has been signed that the Services do not meet their needs or decide to change their workflow, or systems (e.g. ATS) or data feed or career site to a format, process or system that the Services do not support, such a decision will not void the Agreement or Company’s responsibility to make payment for the Services; however, CareerBuilder will use commercially reasonable efforts to reconfigure the account (using pre-existing Applicant Tracking configuration options) to meet Company’s new needs at no additional cost to Company.

6.10 CareerBuilder will provide online tools and training that allow Company’s administrative Users to add, delete and configure Job Boards and Users within Company’s Applicant Tracking account. CareerBuilder has no responsibility to perform functions for Company during the Term that can be achieved with these tools. For significant change projects CareerBuilder can perform these functions for Company if agreed between the Parties and documented in a separate Order Form.

6.11 CareerBuilder will ensure the Services can post to all Job Boards in Recruit’s network as detailed at http://www.broadbean.com/job-boards/. If Company requires the Services to post to a Job Board not part of Recruit’s network (“New Source"), then CareerBuilder will use commercially reasonable efforts to add New Sources to its network at a rate of not less than one Job Board per week. Should Company’s posting volumes to any such New Source exceed twenty (20) postings per month, both CareerBuilder and Company will use commercially reasonable efforts to persuade the New Source to provide CareerBuilder with access to an Application Programming Interface (API) that accepts automated electronic postings from Applicant Tracking in one of Recruit’s standard data formats. Should a New Source be unable or unwilling to provide CareerBuilder with access to such an API in a timely manner, then CareerBuilder will not be required to post jobs to that New Source and not posting to this New Source will not void the Agreement or Company’s responsibility to make payment hereunder. In such scenarios CareerBuilder will still manually post to such New Sources for Company subject to Company agreeing in writing (including email) to pay an additional fee per post/edit/delete (“Manual Transaction") for each New Source at CareerBuilder’s standard Manual Posting rates.

Broadbean’s standard Manual Posting rates as of the Effective Date are:

  • English Language: $2 per Manual Transaction per Candidate Source
  • Non-English Language: $6 per Manual Transaction per Candidate Source

6.12 Where CareerBuilder acts as a media buyer for Company in relation to buying credits on a Job Board on behalf of Company as authorized and requested by Company (“Media Buyer"), Company acknowledges that responsibility and liability for complying with the terms and conditions of use of such Job Board remains with Company.

6.13 Where CareerBuilder does not act as a Media Buyer, Company acknowledges that:

6.13.1 in order to use the Services to submit Postings on certain Job Boards, Company may need to maintain active accounts, funded accounts or credits with those Job Boards;

6.13.2 Company is solely responsible for complying with the terms and conditions of use of any Job Board and/or any other agreement between Company and the Job Board; and

6.13.3 Company is solely responsible for the payment of all charges due to the operators of the Job Board.

6.14 If Company has purchased OFCCP Compliance Job Distribution and Reporting then the following terms shall apply: OFCCP Compliance Job Distribution and Reporting is a tool that can facilitate Company’s compliance with OFCCP obligations by (i) distributing Postings to various Job Boards as required by Section 4212 of the Vietnam Era Veteran’s Readjustment Assistance Act of 1974 and (ii) maintaining a record demonstrating the successful transmission and publishing of Postings with such Job Boards. Company understands and agrees that Company is solely responsible for its compliance with both OFCCP regulations and any other applicable law. Company’s use of Broadbean’s OFCCP Compliance Job Distribution and Reporting does not ensure compliance with OFCCP regulations.

7. Data Extracts. Upon termination of Applicant Tracking Services, Company may request (i) a copy of all Candidate resumes stored on behalf of the Company by CareerBuilder and (ii) a copy of all Candidate information, including contact information (if provided). Data Extracts shall be subject to payment of a one-time fee in an amount to be determined in CareerBuilder’s sole discretion. Upon request, additional extracts may be available at additional cost. CareerBuilder does not warrant that all or that any particular elements of Company Data can be extracted and made available independent of the Services. Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

The following terms shall apply to Company’s use of the Professional or Premium Applicant Tracking Services:

1. Access. Company may use the Services on behalf of its Affiliates (as defined below) or give its Affiliates access to use the Services provided that: (i) Company shall ensure that each Affiliate complies with all of the terms of the Agreement in the same manner that such terms and conditions apply to the Company; and (ii) Company shall be responsible for and remain liable for all Affiliate acts and omissions.

2. Testing. There will be up to thirty (30) days and two (2) rounds of reviews for Client review and revisions after delivery of the Applicant Tracking system. Any additional revisions or changes, at CareerBuilder’s sole discretion, may incur a $200 per hour developer fee and $100 per hour project management fee that will be billed back to the Client.

3. Subscription Service. Features of the Applicant Tracking Service are described at http://www.careerbuilderforemployers.com/content/careerbuilder1 and in the Service itself. CareerBuilder reserves the right at any time to modify or discontinue, temporarily or permanently, any of the features of the Applicant Tracking Service. Features associated with the Service are described below.

4. Onboarding Services. Our onboarding solution provides e-signature solutions for administering new hire documents, while eliminating paperwork and reducing time-to-hire. Our solution is integrated to the recruitment workflow and Company may send employment documents as part of a complete recruitment workflow.

5. Assessments. The assessment range was developed in specific response to a large market research study. The assessments are integrated into the Applicant Tracking software to allow clients to send assessments to candidates and save the results as part of the candidate file. Currently the assessments are only offered in English.

6. User Accounts. Company may create User Accounts for any persons authorized to use the Applicant Tracking Services on its behalf, including, but not limited to, recruiters and contractors. Company is solely responsible for any access to and use of the Services accessed through its User Accounts or otherwise by Users, including by Candidates. The Applicant Tracking Services permit Company to establish different levels of security and information access on a User by User basis. Company is solely responsible for the creation and management of such security levels including, but not limited to, granting and terminating individual User access to information and/or to the Services as a whole, as appropriate. In addition, Company understands and agrees that it is solely responsible for informing Users of their rights and responsibilities with respect to the Services and entering into agreements as appropriate with respect to such User’s use of the Services, including, but not limited to, as appropriate disclosure of information management practices with respect to data and documents provided by such Users.

7. Talent Network Site: The Talent Network Site is the Candidate entry-point for the Applicant Tracking system and is described in our Talent Network Services Description Exhibit, which is located at http://www.careerbuilder.com/jobposter/terms.aspx?ID=talentnetworkservicedescription. CareerBuilder will develop a Talent Network Site for Company that utilizes the language(s) indicated in the Order Form above. If the Order Form indicates multiples language, then the Talent Network Site can be multi-lingual and will allow Candidates to toggle between languages. (Languages should only be selected for relevant countries in which Company wishes to recruit. If Company needs unique Talent Network Sites in each country (versus translations of the same Talent Network Site), then additional Talent Network Sites must be purchased). The Talent Network Site’s Company-facing features (such as Member search or analytics dashboard) are only available in those countries in which CareerBuilder maintains a local office. If Company has indicated above that, it would like to have multiple company brands displayed on its Talent Network Site, please note that Members will be combined into one Member Search Database and unique branding per company will be limited to logo displays in search results. If unique branding or separate databases are required, additional Talent Network Sites must be purchased.

8. Talent Network Premium: If Company has purchased Talent Network Premium (a “Premium Site"), then Company agrees to replace its existing career site with the Premium Site developed by CareerBuilder. The domain or subdomain Company is establishing for the Premium Site and Company’s Applicant Tracking System (“ATS") are both listed above in the Order Form. CareerBuilder also shall build a join form intercept between job details on the Premium Site and the ATS if such service is indicated above.

9. Search and Job Distribution Service Details.

10. Supply & Demand Portal. Applicant Tracking includes access to CareerBuilder’s databases containing content related to salaries and employment (the “Supply & Demand Portal"). Supply & Demand Portal provides strategic intelligence on labor markets and the competition for talent. The Supply & Demand Portal has the following features:

Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

The following additional terms shall apply to Company’s use of the Talent Gather Professional Package (the “Services"):

1.4. CareerBuilder shall ensure that the Services operate as demonstrated to Company and as described in the user documentation and report specifications. Company has performed reasonable due diligence, is satisfied that the Services meet their needs and acknowledges that no further functionality, workflow or deliverables are required or expected from CareerBuilder or the Services unless specified in the Order Form. Should Company decide after the Order Form has been signed that the Services do not meet their needs or decide to change their workflow, or systems (e.g. ATS) or data feed or career site to a format, process or system that the Services do not support, such a decision will not void the Agreement or Company’s responsibility to make payment for the Services; however, CareerBuilder will use commercially reasonable efforts to reconfigure the account (using pre-existing Talent Gather Pro configuration options) to meet Company’s new needs at no additional cost to Company.

2. MyCandidates Services. As part of the Talent Gather Package, Company also shall have access to the MyCandidates Services. The following additional terms shall apply to Company’s use of the MyCandidates Services:

2.1 MyCandidates Data. “MyCandidates Data" is the Company’s Candidate data, shared with CareerBuilder, that will be normalized, aggregated and enriched for Company’s use as part of the Services. Each candidate record must include: date stamp, email address, country code, zip code, resume text and unique URL of the candidate’s record from an ATS or from Talent Network (the “Required Data Fields"). The MyCandidates Data can originate from the Company’s ATS or, if Company has purchased such services, from the Talent Network Site or from applink. Further, the MyCandidates Data is considered to be Company Data, as such term is defined in the MSA, and Company’s rights and obligations regarding the MyCandidates Data shall be the same as those described for Company Data.

2.2 MyCandidates Services. The MyCandidates Service will normalize, aggregate and enrich Company’s MyCandidates Data in a separate, dedicated section on Supply & Demand Portal to include the same input capabilities and filters as described for the Supply & Demand Portal, but with the following data displays as customized for the MyCandidates Data:

2.3 Company Responsibilities. Company or Company’s ATS Partner must provide CareerBuilder with XML file of their candidate data in order to build the MyCandidates database. Company or Company’s ATS must upload the XML file according to the technical specifications below to start the process. Company or Company’s ATS can continue to upload additional XML files with new candidate data on a daily, weekly, monthly or quarterly basis. Company can bypass this responsibility if Company’s Talent Network candidates or those candidates who have applied for jobs via CareerBuilder’s applink are being used to build Company’s MyCandidates database.

2.4 Technical Specifications. Company’s MyCandidates Data must be formatted in XML file. Each unique candidate should have the Required Data Fields. First upload the XML file to the secure FTP site and then notify CareerBuilder.

2.5 Geographic Limitations. The Supply & Demand Portal and MyCandidates only supports data regarding the U.S. labor market. The MyCandidates Data will be hosted by CareerBuilder and will be accessible on the CareerBuilder website from the Supply & Demand Portal.

3. Data Extracts. Upon termination of Talent Gather Services, Company may request (i) a copy of all Candidate resumes stored on behalf of the Company by CareerBuilder and (ii) a copy of all Candidate information, including contact information (if provided). Data Extracts shall be subject to payment of a one-time fee in an amount to be determined in CareerBuilder’s sole discretion. Upon request, additional extracts may be available at additional cost. CareerBuilder does not warrant that all or that any particular elements of Company Data can be extracted and made available independent of the Services. Company shall have forty-five (45) days from the termination of the Order Form to request a copy of the Company Data from CareerBuilder; and, if requested, CareerBuilder shall use commercially reasonable efforts to provide a copy of that data. After such forty-five (45) day period, CareerBuilder shall have no obligation to maintain or provide any Company Data and shall thereafter, unless legally prohibited, have the right to delete all Company Data in its systems or otherwise in its possession or under its control and delete all records related to Company’s use of the Services.

Source and Screen

Project Scope: Source and Screen is designed to provide an efficient way to build a pre-qualified talent pool for Company by utilizing CareerBuilder’s proprietary strategies.

Project Approach:
  • Intake meeting between CareerBuilder and Company to outline requirements that can be identified in candidates’ resumes for the position.
  • Based on the position and the location, CareerBuilder will develop a sourcing strategy, which may include but is not limited to: CareerBuilder postings, emails, and/or passive internet/social media sourcing.
  • The CareerBuilder Project Manager will review Company’s job description and may request edits to increase candidate traffic.
  • The CareerBuilder Project Manager will screen all candidates that come in within 24 business hours of the candidates applying.
  • The CareerBuilder Project Manager will monitor (as defined below) and evaluate performance on a daily basis and adjust the sourcing strategy based on performance.
    • Monitoring will consist of CareerBuilder reviewing the sourcing strategy that was initially implemented on a weekly basis. Based on data, applicant flow (or lack thereof), and available funds, CareerBuilder reserves the right to modify the sourcing media to attempt a better return for Company’s investment.
  • Sourcing will continue for the pre-determined length of the engagement for each job description. After the end of the engagement, the CareerBuilder Project Manager will send a final summary containing a breakdown of resource allocation and project metrics.

Company Roles & Responsibilities:

  • Provide a job description and must-have requirements for the position such as education, years of experience, specific 10industry and job experience, etc., to CareerBuilder as part of this Order Form.
  • Participate in an intake meeting with a CareerBuilder Project Manager.
  • Contact all submitted candidates in 48 hours or less.
  • Give the Project Team specific and timely feedback on why each candidate is being accepted or rejected.
  • Provide overall feedback on the process so the CareerBuilder Project Manager can ensure that the requirements are being met.

Deliverables: Company will receive the following Deliverables:

  • All qualified candidates submitted will be delivered daily.
  • CareerBuilder and Company will participate in a weekly15-minute phone call during the duration of the project.
  • CareerBuilder and Company will participate in a 20-minute wrap-up call upon project completion.
  • satisfaction survey.

Additional Terms:

  • If the total cost for the Source and Screen service is exhausted prior to the end of the pre-determined length of the project, CareerBuilder shall notify Company and send the final deliverables to Company in an email. Upon occurrence of the foregoing, CareerBuilder’s obligations under this Order Form will be considered fulfilled.
  • CareerBuilder does not guarantee any number of candidates for this Source and Screen service.
  • CareerBuilder will not re-use or re-sell the candidate database created from this Source and Screen service, however CareerBuilder can use the candidates if they apply for other opportunities.
  • Non–Solicitation of Personnel. Company acknowledges the international character of CareerBuilder’s business and the substantial amount of time, money, and effort that CareerBuilder has spent and will spend in recruitment of competent contractors and employees. Company agrees that Company will not, for a period of six (6) months after termination of this Agreement, solicit, attempt to employ or actively assist any other entity in employing or soliciting any person who is employed by CareerBuilder during the term of this Agreement. The time period shall be tolled while Company is in breach thereof.

Source and Screen with Phone Screen

Project Scope: Resume Screening is designed to assist Company with the visual screening process of CareerBuilder applicants for up to 20 positions and/or job postings.

Project Approach:

  • Company will appoint a single point of contact to work with the CareerBuilder Project Manager.
  • Intake meeting between CareerBuilder and Company will be used to determine the position requirements that will be used when screening each candidate.
  • The CareerBuilder Project Manager will review applicants through Company’s CareerBuilder.com account and will flag each candidate to show whether or not they have been accepted or rejected. The CareerBuilder Project Manager will monitor (as defined below) and evaluate performance on a daily basis and adjust the sourcing strategy based on performance.

Company Roles & Responsibilities:

  • Participate in an intake meeting with a CareerBuilder Project Manager before screening begins.
  • Provide a list of positions that CareerBuilder will screen for as well as each of the positions visual screening requirements.
  • Provide overall feedback on the process so the CareerBuilder Project Manager can ensure that the requirements are being met.
  • Non–Solicitation of Personnel. Company acknowledges the international character of CareerBuilder’s business and the substantial amount of time, money, and effort that CareerBuilder has spent and will spend in recruitment of competent contractors and employees. Company agrees that Company will not, for a period of six (6) months after termination of this Agreement, solicit, attempt to employ or actively assist any other entity in employing or soliciting any person who is employed by CareerBuilder during the term of this Agreement. The time period shall be tolled while Company is in breach thereof.

Resume and Phone Screening

Project Scope: Resume Screening is designed to assist Company with the visual screening process of CareerBuilder applicants for up to 20 positions and/or job postings.

Project Approach:

Company must provide these questions to CareerBuilder during the intake meeting with the CareerBuilder Project Manager. If an applicant is accepted after the phone screening process, CareerBuilder will email a copy of the phone screen to the Company’s designated point of contact.

Company Roles & Responsibilities:

  • Participate in an intake meeting with a CareerBuilder Project Manager before screening begins.
  • Provide a list of positions that CareerBuilder will screen for as well as each of the positions visual screening requirements.
  • Provide overall feedback on the process so the CareerBuilder Project Manager can ensure that the requirements are being met.

The time period shall be tolled while Company is in breach thereof.

Project Scope: The Screen and Schedule event is an accelerated approach to high-volume hiring for specific classes of jobs including hourly and salaried retail, hospitality, and customer service jobs. This service will provide an efficient way to build a pipeline of candidates who have been screened and scheduled for an interview day hosted by Company. Candidates are sourced utilizing CareerBuilder postings and Search.

Project Approach:

  • Intake meeting between CareerBuilder Project Manager and Company approximately two and a half weeks before the event, to outline requirements that can be identified in candidates’ resumes for the position.
  • The CareerBuilder Project Manager will review Company’s job description and may request edits to increase candidate traffic.
  • Starting no less than two weeks prior to the event, CareerBuilder will advertise the position on CareerBuilder and email candidates through Search in attempt to drive the highest volume of relevant traffic.
  • Once candidates apply, the CareerBuilder Project Manager will visually screen resumes based on the qualifications established by Company.
  • The CareerBuilder Project Manager will schedule qualified candidates for an interview on the day of Company’s event utilizing automated scheduling software.
  • Once all interviews for the event are determined, the CareerBuilder Project Manager will forward the list of confirmed interviews to Company for review.
  • Scheduled candidates will be sent a confirmation and reminder of their scheduled interview immediately after scheduling as well as one day before Company’s event.

Company Roles & Responsibilities:

  • Provide a job title, description and the must-have job requirements to CareerBuilder as part of this Order Form.
  • Participate in an intake meeting with a CareerBuilder Project Manager.
  • Provide details surrounding the date(s) of Company’s event and the event location.
  • Give the Project Team specific and timely feedback when requested
  • Provide overall feedback on the process so the CareerBuilder Project Manager can ensure that the requirements are being met.

Project Scope: Debit Source and Screen enables Company to invest a set amount of money (in the amount listed above) and pull from that amount each time it needs to use CareerBuilder ’s Source and Screen service to fill a job opening. Company will receive one Source and Screen for each job opening. This service is designed to provide an efficient way to build a pre-qualified talent pool for Company by utilizing CareerBuilder’s proprietary strategies.

Project Approach:

For each Source and Screen:

  • Prior to beginning each Source & Screen, CareerBuilder and Company must agree in writing (email is sufficient) on the following: job title(s),location(s) for each job title, duration for each Source & Screen and price for each Source & Screen.
  • Intake meeting between CareerBuilder and Company to outline requirements that can be identified in candidates’ resumes for the position.
  • Based on the position and the location, CareerBuilder will develop a sourcing strategy, which may include but is not limited to: CareerBuilder postings, emails, and/or passive internet/social media sourcing.
    • During the initial phase of the engagement, CareerBuilder will spend 50% of the total cost of Source and Screen on the sourcing strategy. For the remaining phase of the engagement, depending on the resources needed for the sourcing strategy, CareerBuilder will adjust its spend accordingly.
  • The CareerBuilder recruiter will review Company’s job description and may request edits to increase candidate traffic.
  • The CareerBuilder recruiter will screen all candidates that come in within 24 business hours of the candidates applying.
    • CareerBuilder will screen a maximum of 80 resumes per day. • The candidates that meet the requirements outlined by Company will be emailed daily to Company.
  • The CareerBuilder Engagement Manager will monitor (as defined below) and evaluate performance on a daily basis and adjust the sourcing strategy based on performance.
    • “Monitoring" will consist of CareerBuilder reviewing the sourcing strategy that was initially implemented on a weekly basis. Based on data, applicant flow (or lack thereof), and available funds, CareerBuilder reserves the right to modify the sourcing media to attempt a better return for Company’s investment. Monitoring will be done by the CareerBuilder Engagement Manager and not the recruiter. The recruiter will only be responsible for following the sourcing plan implemented by the Company Engagement Manager and sourcing the talent.
  • After the end of the engagement, the CareerBuilder recruiter will send a final summary of the project spend and candidates

Company Roles & Responsibilities:

For each Source and Screen:

  • Notify CareerBuilder in writing (email is sufficient) when it wants to begin a Source and Screen.
  • Provide a job title(s), location(s) for each job title and five must-have job requirements.
  • Participate in an intake meeting with a CareerBuilder recruiter.
  • Provide CareerBuilder recruiter with contact information on where to send qualified resumes.
  • Provide overall feedback on the process so the recruiter can ensure that the requirements are being met.

Deliverables: Company will receive the following Deliverables:

  • A daily email to Company with candidates whom the recruiter feels meet Company’s screening criteria based on the profile Company has given CareerBuilder.
  • A weekly email that will recap the amount of total project spend on the sourcing strategy and how many candidates applied versus how many candidates were qualified.
  • At the end of the engagement, Company will receive a high level overview of the sourcing strategies used, total money spent, the total number of candidates that applied and the total number of qualified leads CareerBuilder has generated for Company.
    • CareerBuilder will be using data analytics to formulate the sourcing strategy and will determine the best course of action when implementing the sourcing strategy, which may include but is not limited to job postings, direct emails, passive sourcing and media

Additional Terms:

  • CareerBuilder does not guarantee any number of candidates for this Source and Screen service.
  • CareerBuilder will not re-use or re-sell the candidate database created from this Source and Screen service, however CareerBuilder can use the candidates if they apply for other opportunities.
  • The Source and Screen service will continue for the pre-determined length of the engagement for each job description or until Company notifies CareerBuilder that the available position has been filled, whichever comes first.
  • Company must utilize its entire investment before the end date of the Order Form

Company acknowledges the international character of CareerBuilder’s business and the substantial amount of time, money, and effort that CareerBuilder has spent and will spend in recruitment of competent contractors and employees. Company agrees that Company will not, for a period of six (6) months after termination of this Agreement, solicit, attempt to employ or actively assist any other entity in employing or soliciting any person who is employed by CareerBuilder during the term of this Agreement. The time period shall be tolled while Company is in breach thereof.

Debit Source and Screen with Phone Screen:

Project Scope: Debit Source and Screen enables Company to invest a set amount of money (in the amount listed above) and pull from that amount each time it needs to use CareerBuilder ’s Source and Screen service to fill a job opening. Company will receive one Source and Screen for each job opening. This service is designed to provide an efficient way to build a pre-qualified talent pool for Company by utilizing CareerBuilder’s proprietary strategies.

Hiring Event:

Project Scope: The Hiring Event is an accelerated approach to high volume hiring. This service will provide an efficient way to build a pre-screened talent pool for Company on a predetermined “hiring event" day by utilizing CareerBuilder’s proprietary strategies.

Project Approach:

  • Intake meeting between CareerBuilder and Company to outline requirements that can be identified in candidates’ resumes for the position.
  • The CareerBuilder Project Manager will review Company’s job description and may request edits to increase candidate traffic.
  • For up to seven to ten days prior to the event, CareerBuilder will advertise in the most effective mediums for the specified position, driving as much relevant traffic to the advertisements as possible.
  • Once candidates apply, the CareerBuilder Project Manager will visually screen resumes based on the qualifications established by Company.
  • The CareerBuilder Project Manager will conduct a phone screen to confirm candidate interest and set an interview appointment with the Company hiring manager.
  • The CareerBuilder Project Manager will obtain a verbal confirmation from all candidates regarding their scheduled interview appointments, and send each candidate a confirmation email.
  • Once all appointments for the event date are determined, the CareerBuilder Project Manager will forward the list of confirmed interviews to Company for review

Company Roles & Responsibilities:

  • Provide a job description and up to five must-have job requirements to CareerBuilder as part of this Order Form.
  • Participate in an intake meeting with the CareerBuilder Project Manager.
  • Provide overall feedback on the process so the CareerBuilder Project Manager can ensure that the requirements are being met.

Deliverables: Company will receive the following Deliverables:

  • Weekly touch point calls with the CareerBuilder Project Manager to discuss progress and logistics.
  • Four days prior to event, the resumes and phone screens (if applicable) of all qualified and scheduled candidates will be sent to Company along with a copy of the candidate interview schedule.
  • If CareerBuilder is not attending the event, the documentation for all qualified and scheduled candidates will be sent to Company the day before the event. This includes candidate resumes, respective phone screens, and the final schedule.
  • If CareerBuilder is attending the event, the documentation for all qualified and scheduled candidates, associated ID badges, and the final schedule will be printed by CareerBuilder and copies will be provided to Company attendees. All printing costs and materials will be billed back to Company.
  • Within 48 hours after the event, CareerBuilder will provide a final report outlining the results of the event to Company.

Additional Terms:

  • CareerBuilder does not guarantee any number of candidates for this Hiring Event service.
  • By purchasing a Hiring Event(s), Company shall reimburse CareerBuilder for additional costs including, without limitation, printing, photocopying, shipping, fax or telephone charges, airfare, hotel accommodations, car rental or mileage reimbursement and per diem meal allowance.
  • Non–Solicitation of Personnel. Company acknowledges the international character of CareerBuilder’s business and the substantial amount of time, money, and effort that CareerBuilder has spent and will spend in recruitment of competent contractors and employees. Company agrees that Company will not, for a period of six (6) months after termination of this Agreement, solicit, attempt to employ or actively assist any other entity in employing or soliciting any person who is employed by CareerBuilder during the term of this Agreement. The time period shall be tolled while Company is in breach thereof.

Automotive Source and Screen:

Project Scope: Source and Screen is designed to provide an efficient way to build a pre-qualified talent pool for a Dealership by utilizing CareerBuilder’s proprietary strategies.

Project Approach:

  • Dealership and CareerBuilder will have an initial project meeting to outline the hiring program and expectations.
  • CareerBuilder will provide Dealership with a point of contact.
  • The CareerBuilder point of contact will administer an initial launch call and then will call the Dealership at a minimum of once a month for the duration of the program.
  • Dealership will outline open roles for their Dealership that CareerBuilder will be sourcing for. This may include, but is not limited to, salesmen, technicians, general staff, and so forth.
  • Dealership will outline the requirements for role that CareerBuilder will visually screen the resume for.
  • CareerBuilder currently has job description templates for most positions at a Dealerships that CareerBuilder will utilize.
  • If provided a job description, the CareerBuilder project manager will review the description and may provide suggested edits to increase candidate traffic.
  • CareerBuilder shall screen all candidates that come in within 48 hours of the candidates applying.
  • CareerBuilder will send over the visually screened qualified candidates, to the designated recipients at the Dealership.
  • CareerBuilder will monitor and review the sourcing efforts continuously throughout the program.
  • “Duration of Service" given below on Page 1 of this contract is defined in years, i.e., one continuous sourcing event for the duration of the dates listed

Dealership Roles & Responsibilities:

  • Participate in an initial launch call for the project, providing detailed requirements for any positions we will be visually screening.
  • Provide updates on the (i) open roles CareerBuilder is sourcing for; (ii) hires made, (iii) candidates, and (iv) position filled.
  • For any roles unique to Dealership, provide a job description or specific guide lines for the role and allow the CareerBuilder up to 48 hours to put together an optimized job description.

Deliverables: Dealership will receive the following Deliverables:

  • All qualified candidates submitted will be delivered daily.
  • CareerBuilder and Dealership will participate in a weekly15-minute phone call during the duration of the project.
  • CareerBuilder and Dealership will participate in a 20-minute wrap-up call upon project completion.
  • A satisfaction survey.

Additional Terms:

  • If the total cost for the Source and Screen service is exhausted prior to the end of the pre-determined length of the project, CareerBuilder shall notify Dealership and send the final deliverables to Dealership in an email. Upon occurrence of the foregoing, CareerBuilder’s obligations under this Agreement will be considered fulfilled.
  • CareerBuilder does not guarantee any number of candidates for this Source and Screen service.
  • CareerBuilder will not re-use or re-sell the candidate database created from this Source and Screen service, however CareerBuilder can use the candidates if they apply for other opportunities
  • Non–Solicitation of Personnel. Company acknowledges the international character of CareerBuilder’s business and the substantial amount of time, money, and effort that CareerBuilder has spent and will spend in recruitment of competent contractors and employees. The following additional terms shall apply to Company’s use of the CB Media Services:

1. Term. Either party shall have the right to terminate the portion of the Order Form that pertains to CB Media Services at any time and for any reason upon two (2) business day’s prior written notice to the other party. In accordance with the provisions above, Company understands and agrees that CareerBuilder sells advertising space through an auction process and that the portion of the Order Form that pertains to CB Media Services may be terminated upon two (2) business days prior written notice if CareerBuilder receives a higher bid than that offered by Company for the advertising space described on the Order Form.

2. Advertising. Except as expressly provided in the Order Form, the positioning of all advertisements is within the sole discretion of CareerBuilder. CareerBuilder may run advertisements on any website owned by CareerBuilder unless otherwise stated in this Order Form. In an advertising campaign, CareerBuilder arranges the media schedule while Company provides advertising creative suitable to the advertising specs provided to be used for a particular campaign. As part of its advertising services, CareerBuilder offers advertising reports, including impression summaries. "Impressions" are measures of the number of times a banner is displayed. A one-month run date is defined as the period from 12 midnight on the first day of the calendar month to 12 midnight on the last day of that calendar month. Actual impressions for any given month may vary. Unless, otherwise specified in the Order Form, CareerBuilder is authorized to (i) continue the advertising campaign beyond the Order Form’s End Date for the sole purpose of providing the above agreed upon quantity of banner impressions; and (ii) over-serve banner impressions up to, but not exceeding, ten percent (10%) of the contractually agreed upon quantity.

3. Billing, Payment and Credit. Company will be billed for advertising services following each monthly period CareerBuilder runs Company's advertisements. Payments will be based on actual advertisements delivered in accordance with this Order Form. In the case of under delivery CareerBuilder will roll advertising into the next calendar month. All payment obligations hereunder shall survive termination or expiration of this Order Form. CareerBuilder may, but is not obligated, to extend credit or to continue to extend credit to any Company and may change any credit limit at any time in its sole discretion. CareerBuilder shall not be obligated to deliver any ads in excess of any credit limit granted.

4. No Assignment or Resale of Ad Space. Company may not resell, assign or transfer any of its rights hereunder. In the event of any attempt to resell, assign or transfer any of such rights, CareerBuilder may immediately terminate this Order Form, without liability to CareerBuilder.

5. Approval. All advertisements are subject to CareerBuilder’s approval. CareerBuilder may edit, revise, reject, take down, or cancel any advertisement at any time. CareerBuilder will notify Company of any such action and Company shall be allowed to replace such advertising with acceptable advertising within five (5) days of receipt of the notice. In addition, CareerBuilder (i) may, in its sole discretion, reject any URL link embodied within any advertisement and (ii) reserves the right to reject or terminate the display of an advertisement if it fails to conform to applicable laws and regulations, CareerBuilder's policies, or the public interest. CareerBuilder may reject or remove an advertisement for an advertised site which is not functional or which CareerBuilder deems unsuitable for linking to its Site. CareerBuilder does not accept any ads that spawn pop-ups. CareerBuilder reserves the right to refuse any rich media type and that will require in excess of two days to ensure Site compatibility. Advertisements must comply with CareerBuilder’s Electronic Advertising Policies and Creative Specifications.

6. Display Ads, Measurement of Traffic. In the event that Company is purchasing display ads, unless otherwise specified in this Order Form, the parties agree that CareerBuilder's advertising service (“Advertising Service") shall be the official measure of traffic delivery to Company. Company agrees to pay CareerBuilder in accordance w/ the measurement provided by Advertising Service. Any failure to pay CareerBuilder in accordance with the measurements provided by Advertising Service will be a breach of this Order Form, collections and legal remedies will be pursued.

7. Modification and Operation of the CareerBuilder Network. CareerBuilder reserves the right to redesign or modify the CareerBuilder Network (i.e., careerbuilder.com, any other websites owned or controlled by CareerBuilder and any pages therein) at its discretion at any time. To the extent that such modifications materially and adversely affect the placement of one or more of the advertisements, CareerBuilder shall, at its sole discretion, make a commercially reasonable effort to display future affected advertisements in a comparable location and manner.

8. Email Campaigns. If Company is participating in our Email campaign program, then Company agrees to abide by the Electronic Advertising Policies and Creative Specifications and submission deadlines. Further all of Company’s rights and obligations described above with respect to “advertisements" shall apply equally to Company-provided email content.

The following terms shall apply to Company’s use of the Employment Branding and Video Services:

1. Services. CareerBuilder will develop the employment branding materials (the “Employment Branding Materials") and/or develop, produce and post the video (“Video") for display on Company’s Career Site (the “Services"). Company is responsible for providing CareerBuilder with any audio, video, photographs, documents or other materials for use in connection with the Services (such materials shall be considered and treated as “Company Materials" as defined in the MSA and the parties shall have the same rights and obligations towards such materials as described therein).

2. Intellectual Property Rights. Except for as expressly provided herein, Company shall own all right, title and interest in the Company Materials, the Employment Branding Materials and the Video, including, without limitation, the right to use, display, modify, edit, cut, distribute or otherwise use the Employment Branding Materials and/or Video in any way for any reason. CareerBuilder hereby assigns to Company, without the necessity of additional action being taken, all of its respective right, title and interest, if any, in such Employment Branding Materials and/or Video. Without limiting the generality of the foregoing, CareerBuilder agrees that the Video which is eligible for United States copyright protection shall be a work made for hire and ownership of all copyrights (including all renewals and extensions) therein shall vest in Company. If any such work is deemed not to be a work made for hire for any reason, CareerBuilder hereby grants, transfers and assigns all right, title and interest in such work and all copyrights in such work and all renewals and extensions thereof to Company.

3. Third Party Providers. Company acknowledges and agrees that CareerBuilder may use third party providers, including subcontractors and consultants (the “Third Party Providers") to provide these Services. In which case, Company acknowledges and agrees that such Third Party Provider shall be deemed a CareerBuilder Indemnified Party, for the purposes of the MSA. Additionally, as between CareerBuilder and its Third Party Providers, CareerBuilder will have sole responsibility for handling all billing and contract negotiations.

  • In exchange for a placement fee, CareerBuilder shall supply Company with Candidates who have recently completed a training certificate course from a third-party online learning company, preparing the candidate to be job-ready for a specific job occupation.
  • The number of Candidates to be provided and the job occupation in which they will be trained is designated on the first page of this Order Form.
Project Approach
  • CareerBuilder will specifically source Candidates who: (i) are located in the geographic location needed by the Company, and (ii) have the pre-requisite skill-sets to enter the training course.
  • CareerBuilder will invite them to register online to start their training.
  • Upon completion of their training course, Candidates will be required to pass an assessment test to be eligible for employer interviews.
Company Roles & Responsibilities
  • Provide CareerBuilder with a job description and must-have requirements for the position such as education, years of experience, specific industry and job experience, etc.
  • Participate in an intake meeting with a CareerBuilder project manager.
  • Contact all submitted Candidates in 48 hours or less.
  • Give the Project Team specific and timely feedback on why each Candidate is being accepted or rejected.

  • • If a Candidate is hired by Company but, within ninety (90) days post-hire, leaves Company’s employ due to the Candidate’s own decision or termination for cause, then CareerBuilder will provide a replacement Candidate to Company, free of any additional charge. The following additional terms shall apply to Company’s use of the Textkernel Jobfeed Solution

A. The following additional terms will apply to Company’s purchase and use of Jobfeed.

B. Capitalized words used but not defined herein have the same meaning ascribed to them in the Master Services Agreement between Company and CareerBuilder.

1. Description of Jobfeed. The Service allows Company access to job vacancies that are published on the internet enhanced with meta-information.

2. Delivery; Invoicing; Additional Fees

2.1. Jobfeed will be delivered within one week of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The initial invoice for Jobfeed licensing fees will be issued upon execution of the Order Form.

2.2. CareerBuilder may charge Company additional fees for any services or activities beyond the scope of this Order Form at CareerBuilder’s then current rates (the “Professional Services"). Amounts owed for Professional Services will be invoiced in full once determinable, unless otherwise agreed to by Company and CareerBuilder.

2.3. The pricing set forth in the Order Form excludes the cost for subscriptions/accounts to restricted external sources of third parties as charged by those third parties. Company will contract access to these sources directly with those third parties.

2.4. The pricing set forth in the Order Form excludes the use of the Google API for searching public external sources. A Google API key can be purchased by Company at Google directly or via API provider at Google List.

3. Training

3.1. CareerBuilder will provide two telephone training sessions on these Services to Company upon delivery. At Company’s request, CareerBuilder can provide onsite or additional online training sessions on these Services for additional fees. If requested, CareerBuilder and Company will agree on the manner, schedule, and fees for such additional training sessions, as necessary.

3.2. The copyright on any course material used during training sessions rests with CareerBuilder. Company is not authorized to copy and/or publish the course materials except for Company’s own use.

4. Company Use and Access

4.1. Jobfeed uses standard net etiquette (including robots.txt) and explicit exclusion lists to prevent job vacancies from being called in such a way that might be of disservice to the publishing network. If a job vacancy is available on the internet but the parties holding rights to it do not allow the job vacancy to be included in Jobfeed, then the source in question is placed on the exclusion list. If a job vacancy is inaccessible to the Jobfeed spider for technical reasons, then it is not supplied. CareerBuilder offers no guarantees in relation to the completeness of Jobfeed or the continuity of supplies of job vacancies from specific sources.

4.2. CareerBuilder offers Jobfeed as an information service for Company’s internal use. Company represents and warrants that the use of Jobfeed (and any information acquired from it) by Company will be in accordance with this Agreement and all applicable laws, and that such information will not be used for non-recruitment purposes. CareerBuilder is not liable for incorrect, careless or otherwise irresponsible use by Company of the information that is obtained through Jobfeed. Company acknowledges and agrees that the careful use of the information involves verification of a job vacancy on the original website to ensure that the job vacancy is still on offer and whether all information has been correctly taken over by Jobfeed. Company is aware that factors beyond the control of CareerBuilder, including but not limited to, judicial pronouncements concerning spidering for job vacancies and changes to employers’ publication habits for job vacancies, may hamper the addition of job vacancies to Jobfeed. Company is aware that the job vacancies are harvested from the internet using automatic classification methods, which means that pages may be supplied that do not contain any job vacancy, that are incorrectly coded or that are not correctly up-to-date and may be duplicates.

The following additional terms shall apply to Company’s use of the Textkernel Match! Service

A. The following additional terms will apply to Company’s purchase and use of Match! solutions.

B. Capitalized words used but not defined herein have the same meaning ascribed to them in the Master Services Agreement between Company and CareerBuilder.

1. Description of Services

1.1. Match! Match! is comprised of the following features:

1.1.1. My Candidates. Data store of Company’s Candidate data.

1.1.2. Extract! Parsing of Company’s Candidate resumes into a structured format for storage in Company’s My Candidates database.

1.1.3. Jobfeed. Access to job vacancies that are published on the internet enhanced with meta-information.

1.1.4. Search! Semantic search engine and user-interface that enables semantic searches in Company’s My Candidates database and on Jobfeed data.

1.1.5. Match! Automatic query-extraction and execution from structured and unstructured data that enables semantic match queries in Company’s My Candidates database and on Jobfeed data.

1.1.6. Third Party Applicant Tracking System (“ATS") Integration. Optional feature to import a third-party’s ATS data into MyCandidates.

2. Delivery; Invoicing; Additional Fees

2.1. Match! will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The months of service and initial invoice for Match! licensing fees will begin upon delivery of said Service.

2.2. CareerBuilder may charge Company additional fees for any services or activities beyond the scope of this Order Form at CareerBuilder’s then current rates (the “Professional Services"). Amounts owed for Professional Services will be invoiced in full once determinable, unless otherwise agreed to by Company and CareerBuilder.

2.3. The pricing set forth in the Order Form excludes the cost for subscriptions/accounts to restricted external sources of third parties as charged by those third parties. Company will contract access to these sources directly with those third parties.

3.2. Company must take measures to stop excessive usage immediately upon notice by CareerBuilder.

3.3. Unless otherwise stated in the Order Form, processing/parsing of Candidate resumes and job descriptions for the initial populating of the index databases before these Services go live is included in the implementation fees and has no effect on the fair use policy.

4. Training

4.1. CareerBuilder will provide two telephone training sessions on these Services to Company upon delivery. At Company’s request, CareerBuilder can provide onsite or additional online training sessions on these Services for additional fees. If requested, CareerBuilder and Company will agree on the manner, schedule, and fees for such additional training sessions, as necessary.

The Textkernel – Bullhorn Solution will be delivered within 10 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder, or unless Company first purchases the Textkernel – Bullhorn POC Solution, in which case the customized Textkernel – Bullhorn Solution will be delivered within 6 weeks from the end of the Term of the Textkernel – Bullhorn POC Solution. The invoice for the implementation fee for this Service, as set forth on the Order Form, will be issued upon execution of the Order Form. The invoice for the first monthly subscription fee, as set forth on the Order Form, will be issued upon delivery of said Service.

2.2. CareerBuilder may charge Company additional fees for any services or activities beyond the scope of this Order Form at CareerBuilder’s then current rates (the “Professional Services"). Amounts owed for Professional Services will be invoiced in full once determinable, unless otherwise agreed to by Company and CareerBuilder.

2.3. The pricing set forth in the Order Form excludes the cost for subscriptions/accounts to restricted external sources of third parties as charged by those third parties. Company will contract access to these sources directly with those third parties.

The following additional terms shall apply to Company’s use of the Textkernel Match! Service

A. The following additional terms will apply to Company’s purchase and use of Match! solutions.

B. Capitalized words used but not defined herein have the same meaning ascribed to them in the Master Services Agreement between Company and CareerBuilder.

1. Description of Services

1.1. Match! Match! is comprised of the following features:

1.1.1. My Candidates. Data store of Company’s Candidate data.

1.1.2. Extract! Parsing of Company’s Candidate resumes into a structured format for storage in Company’s My Candidates database.

1.1.3. Jobfeed. Access to job vacancies that are published on the internet enhanced with meta-information.

1.1.4. Search! Semantic search engine and user-interface that enables semantic searches in Company’s My Candidates database and on Jobfeed data.

1.1.5. Match! Automatic query-extraction and execution from structured and unstructured data that enables semantic match queries in Company’s My Candidates database and on Jobfeed data.

1.1.6. Third Party Applicant Tracking System (“ATS") Integration. Optional feature to import a third-party’s ATS data into MyCandidates.

1.2. Textkernel – PC Recruiter Solution (“Textkernel – PCR Solution"). Use of Match! and Extract! technologies to enable semantic search queries in the PCR ATS.

2. Delivery; Invoicing; Additional Fees

2.1. The Textkernel – PCR Solution will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The invoice for the implementation fee for this Service, as set forth on the Order Form, will be issued upon execution of the Order Form. The invoice for the first monthly subscription fee, as set forth on the Order Form, will be issued upon delivery of said Service.

2.2. CareerBuilder may charge Company additional fees for any services or activities beyond the scope of this Order Form at CareerBuilder’s then current rates (the “Professional Services"). Amounts owed for Professional Services will be invoiced in full once determinable, unless otherwise agreed to by Company and CareerBuilder.

2.3. The pricing set forth in the Order Form excludes the cost for subscriptions/accounts to restricted external sources of third parties as charged by those third parties. Company will contract access to these sources directly with those third parties.

2.4. The pricing set forth in the Order Form excludes the use of the Google API for searching public external sources. A Google API key can be purchased by Company at Google directly or via API provider at Google List.

3. Fair Use

3.1. In the event of excessive usage by Company, CareerBuilder is authorized take measures to address the excessive usage, including suspending the Textkernel Services and/or charging additional fees. “Excessive usage" means usage that is higher than the user and database document numbers as set forth in the Order Form.

3.2. Company must take measures to stop excessive usage immediately upon notice by CareerBuilder.

3.3. Unless otherwise stated in the Order Form, processing/parsing of Candidate resumes and job descriptions for the initial populating of the index databases before these Services go live is included in the implementation fees and has no effect on the fair use policy.

4. Training

4.1. CareerBuilder will provide two telephone training sessions on these Services to Company upon delivery. At Company’s request, CareerBuilder can provide onsite or additional online training sessions on these Services for additional fees. If requested, CareerBuilder and Company will agree on the manner, schedule, and fees for such additional training sessions, as necessary.

4.2. The copyright on any course material used during training sessions rests with CareerBuilder. Company is not authorized to copy and/or publish the course materials except for Company’s own use.

5. Additional Jobfeed Terms

5.1. Jobfeed uses standard net etiquette (including robots.txt) and explicit exclusion lists to prevent job vacancies from being called in such a way that might be of disservice to the publishing network. If a job vacancy is available on the internet but the parties holding rights to it do not allow the job vacancy to be included in Jobfeed, then the source in question is placed on the exclusion list. If a job vacancy is inaccessible to the Jobfeed spider for technical reasons, then it is not supplied. CareerBuilder offers no guarantees in relation to the completeness of Jobfeed or the continuity of supplies of job vacancies from specific sources.

5.2. CareerBuilder offers Jobfeed as an information service for Company’s internal use. Company represents and warrants that the use of Jobfeed (and any information acquired from it) by Company will be in accordance with this Agreement and all applicable laws, and that such information will not be used for non-recruitment purposes. CareerBuilder is not liable for incorrect, careless or otherwise irresponsible use by Company of the information that is obtained through Jobfeed. Company acknowledges and agrees that the careful use of the information involves verification of a job vacancy on the original website to ensure that the job vacancy is still on offer and whether all information has been correctly taken over by Jobfeed.

5.3. Company is aware that factors beyond the control of CareerBuilder, including but not limited to, judicial pronouncements concerning spidering for job vacancies and changes to employers’ publication habits for job vacancies, may hamper the addition of job vacancies to Jobfeed. Company is aware that the job vacancies are harvested from the internet using automatic classification methods, which means that pages may be supplied that do not contain any job vacancy, that are incorrectly coded or that are not correctly up-to-date and may be duplicates.

Jobfeed and Match! and Textkernel Solutions Additional Service Terms

A. The following additional terms will apply to Company’s purchase and use of Match! and Jobfeed, and Textkernel – Bullhorn or Custom Solutions.

1.1. Jobfeed. Access to job vacancies that are published on the internet enhanced with meta-information.

1.2. Match! Match! is comprised of the following features:

1.2.1. My Candidates. Data store of Company’s Candidate data.

1.2.2. Extract! Parsing of Company’s Candidate resumes into a structured format for storage in Company’s My Candidates database.

1.2.3. Jobfeed. Access to job vacancies that are published on the internet enhanced with meta-information.

1.2.4. Search! Semantic search engine and user-interface that enables semantic searches in Company’s My Candidates database and on Jobfeed data.

1.2.5. Match! Automatic query-extraction and execution from structured and unstructured data that enables semantic match queries in Company’s My Candidates database and on Jobfeed data.

1.2.6. Third Party Applicant Tracking System (“ATS") Integration (the “Textkernel Custom Solutions"). Optional feature to import a third-party’s ATS data into MyCandidates.

1.3. Textkernel – Bullhorn Solution. Use of Match! and Extract! technologies to enable semantic search queries in the Bullhorn ATS.

1.3.1. Textkernel – Bullhorn Proof of Concept (POC) Solution. A standard version of the Textkernel – Bullhorn Solution that is limited in duration and not specifically configured or customized for any particular requirements of Company.

1.4. Textkernel – PC Recruiter Solution (“Textkernel – PCR Solution"). Use of Match! and Extract! technologies to enable semantic search queries in the PCR ATS.

2. Delivery; Invoicing; Additional Fees

2.1. Jobfeed will be delivered within one week of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The initial invoice for Jobfeed licensing fees will be issued upon execution of the Order Form.

2.2. Match! will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The initial invoice for Match! licensing fees will be issued upon delivery of said Service.

2.3. Third Party ATS Integrations (the Textkernel Custom solutions), other than the Textkernel-Bullhorn Service, will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The initial invoice for a Third Party ATS Integration will be issued upon delivery of said Service.

2.4. The Textkernel – Bullhorn Solution will be delivered within 10 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder, or unless Company first purchases the Textkernel – Bullhorn POC Solution, in which case the customized Textkernel – Bullhorn Solution will be delivered within 6 weeks from the end of the Term of the Textkernel – Bullhorn POC Solution. The invoice for the implementation fee for this Service, as set forth on the Order Form, will be issued upon execution of the Order Form. The invoice for the first monthly subscription fee, as set forth on the Order Form, will be issued upon delivery of said Service.

2.5. The Textkernel – Bullhorn POC Solution will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. Company will receive a single invoice for the full amount of said Service upon execution of the Order Form.

2.6. The Textkernel – PCR Solution will be delivered within 4 weeks of execution of the Order Form unless Company is notified otherwise by CareerBuilder. The invoice for the implementation fee for this Service, as set forth on the Order Form, will be issued upon execution of the Order Form. The invoice for the first monthly subscription fee, as set forth on the Order Form, will be issued upon delivery of said Service.

2.7. CareerBuilder may charge Company additional fees for any services or activities beyond the scope of this Order Form at CareerBuilder’s then current rates (the “Professional Services"). 3. Fair Use

3.1. 5. Additional Jobfeed Terms

5.1. 5.3.
